TERMS OF USE

These Terms of Use ("Terms") govern your access to and use of the VIIRAL Networks website, including any creator applications, forms, portals, content, features, and services made available through the website (collectively, the "Site").

VIIRAL Networks ("VIIRAL", "we", "us", or "our") is a business name operated by Alpha Maverick Advertising Ltd., a Canadian corporation based in British Columbia, Canada.

By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

VIIRAL Networks is a creator-management and creator-services business focused on supporting digital creators, including creators operating on TikTok and TikTok LIVE.

Our services may include creator recruitment, application review, onboarding, creator management, education, LIVE strategy, performance support, growth assistance, campaign opportunities, communications, analytics, and other creator-related services.

The availability and scope of our services may vary by creator, platform, program, location, and applicable third-party requirements.

TikTok and TikTok LIVE are products and trademarks of their respective owners.

VIIRAL Networks is a separate business from TikTok and does not own or control the TikTok platform.

Any formal relationship between VIIRAL Networks and TikTok, including participation in a TikTok LIVE Creator Network or other TikTok program, is subject to applicable agreements, approvals, territories, policies, and requirements established by TikTok.

Nothing on this Site should be interpreted as a guarantee of TikTok endorsement, creator acceptance, platform approval, or continued participation in any TikTok program.

Where we describe an official platform relationship, designation, or program participation, that description applies only to the extent currently authorized by the applicable platform.

The VIIRAL creator application process is intended for individuals who are at least 18 years old, unless we expressly state otherwise for a particular program.

By submitting an application, you represent that:

• the information you provide is truthful and accurate;
• you meet the stated eligibility requirements;
• you are legally permitted to participate;
• your application does not violate another agreement applicable to you; and
• you are not impersonating another person or creator.

We may request additional information where reasonably necessary to verify an application or determine eligibility.

Submitting an application to VIIRAL does not guarantee acceptance.

We may evaluate applications based on legitimate business and program considerations, which may include creator activity, account standing, content, LIVE activity, availability, location, audience, communication, platform eligibility, goals, program capacity, and other relevant considerations.

We reserve the right to accept or decline applications at our discretion, subject to applicable law.

We are not obligated to disclose internal application criteria, assessments, scoring systems, business decisions, or selection methodology.

VIIRAL will not charge you through this Site for a product or service unless the applicable price, charge, or payment obligation is clearly disclosed before you agree to it.

Any compensation, revenue sharing, commissions, campaign payments, creator payments, or other financial arrangements relating to an accepted creator may be governed by a separate agreement or applicable platform program.

VIIRAL may provide creators with management, education, support, strategy, resources, opportunities, recommendations, analytics, and other assistance.

However, creator performance and third-party platform decisions are outside our complete control.

VIIRAL does not guarantee:

• views;
• followers;
• engagement;
• viral content;
• LIVE access;
• LIVE viewers;
• gifts;
• earnings or revenue;
• sponsorships or brand deals;
• verification;
• platform recommendations;
• search or algorithm placement;
• admission to a particular platform program;
• successful appeals;
• restoration of restricted or suspended accounts; or
• any particular financial, audience, or creator outcome.

Examples, testimonials, case studies, statistics, or creator results displayed on the Site do not constitute a promise that another creator will achieve the same results.

Social-media platforms change frequently.

TikTok and other third parties may independently change their:

• algorithms;
• policies;
• community guidelines;
• creator programs;
• LIVE requirements;
• monetization programs;
• eligibility requirements;
• payment structures;
• APIs;
• features;
• geographic availability;
• agency programs; or
• enforcement practices.

VIIRAL is not responsible for independent decisions, outages, restrictions, suspensions, policy changes, or other actions taken by TikTok or another third-party platform.

Creators should review applicable platform terms and policies directly.

VIIRAL does not ask applicants to provide their TikTok password through our public creator application or contact forms.

You should never submit passwords or other sensitive account credentials through a VIIRAL application or contact form.

Where TikTok or another platform provides an official authorization, invitation, account-linking, API, agency-management, or similar system, VIIRAL may use those authorized systems as necessary to provide applicable services.

You remain responsible for maintaining the security of your own social-media accounts and devices.

You may use the Site only for lawful purposes.

You may not:

• attempt to gain unauthorized access to the Site, databases, accounts, servers, or administrative systems;
• interfere with the operation or security of the Site;
• introduce malware, malicious code, or other harmful technology;
• attempt to circumvent authentication or security measures;
• submit fraudulent or intentionally misleading applications;
• impersonate another person or creator;
• use automated systems to scrape or extract Site data at scale without written authorization;
• harvest personal information from the Site;
• reproduce or commercially exploit Site content without authorization;
• use the Site to violate applicable law;
• infringe intellectual property, privacy, publicity, or other third-party rights;
• abuse, overload, attack, probe, or disrupt our infrastructure; or
• use VIIRAL's name or systems for fraudulent or deceptive activity.

We may restrict or block access where we reasonably believe these Terms have been violated or our Site, company, creators, personnel, partners, or systems are at risk.

The VIIRAL Networks name, branding, logos, graphics, website design, written content, software, databases, documentation, systems, and other proprietary materials are owned by Alpha Maverick Advertising Ltd. or its applicable licensors and are protected by applicable intellectual-property laws.

Your use of the Site does not transfer ownership of any VIIRAL intellectual property to you.

You may not reproduce, modify, distribute, sell, license, commercially exploit, or use VIIRAL trademarks or proprietary materials without our prior written permission except where otherwise permitted by law.

Submitting a creator application does not transfer ownership of your TikTok account, username, videos, photographs, likeness, or other original creator content to VIIRAL.

You retain the rights you otherwise hold in your content, subject to the terms of the platforms where that content is published and any separate agreement you enter into.

If you later join VIIRAL, any additional rights required for campaigns, promotion, management, marketing, or other services may be addressed in a separate creator, campaign, or content agreement.

Our collection, use, storage, protection, retention, and disclosure of personal information are governed by our Privacy Policy, which forms part of these Terms.

VIIRAL does not sell personal information.

Information submitted through creator applications, contact forms, or other Site features is handled in accordance with our Privacy Policy and applicable privacy law.

We take reasonable administrative, organizational, and technical measures designed to protect the information and systems under our control.

However, no website, database, internet transmission, network, or electronic storage system can be guaranteed to be completely secure.

You are responsible for taking reasonable precautions when accessing online services and for maintaining the security of your own devices, accounts, passwords, and authentication methods.

The Site may contain links to or integrate with third-party websites, platforms, tools, or services.

These third parties operate independently and may have their own terms of use and privacy policies.

VIIRAL is not responsible for the content, availability, security, accuracy, policies, or practices of independent third-party services.

A link to a third-party service does not necessarily constitute an endorsement of that service.

When you submit an application, contact form, or other request, you authorize us to contact you regarding that request and any potential relationship with VIIRAL.

If you become a VIIRAL creator, we may send communications reasonably necessary to administer that relationship.

Marketing and promotional electronic communications will be sent in accordance with applicable law, including Canada's anti-spam requirements where applicable.

Where required, you may unsubscribe from promotional communications using the method provided in the communication.

These Terms primarily govern your use of the VIIRAL Site.

Acceptance into VIIRAL Networks may require you to enter into a separate creator-management, participation, campaign, compensation, confidentiality, or other agreement.

Those agreements may establish additional terms concerning matters such as:

• creator and agency responsibilities;
• compensation;
• commissions or revenue sharing;
• campaigns;
• minimum participation requirements;
• content rights;
• confidentiality;
• brand partnerships;
• payment procedures;
• term and termination; and
• other aspects of the creator relationship.

If a separate written agreement conflicts with these Terms regarding a matter specifically addressed by that agreement, the separate agreement will govern that matter.

We may modify, suspend, restrict, replace, or discontinue all or part of the Site at any time.

We do not guarantee that the Site will always be available, uninterrupted, secure, or error-free.

Maintenance, upgrades, third-party outages, security events, technical failures, or circumstances outside our control may temporarily affect availability.

To the maximum extent permitted by applicable law, the Site and its content are provided on an "as is" and "as available" basis.

Information provided on the Site is intended for general informational and creator-management purposes.

VIIRAL makes no guarantee that information relating to a third-party platform will remain current because platform features, rules, programs, and requirements may change without notice.

Nothing on the Site constitutes legal, tax, accounting, investment, or financial advice.

Nothing in these Terms excludes any warranty or legal right that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, Alpha Maverick Advertising Ltd., doing business as VIIRAL Networks, and its directors, officers, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to your use of, or inability to use, the Site.

To the extent permitted by law, this includes losses associated with:

• loss of revenue or profits;
• loss of creator opportunities;
• loss of followers, engagement, views, gifts, or audience;
• third-party platform outages;
• algorithm changes;
• platform policy changes;
• account restrictions or suspensions;
• third-party conduct; or
• loss of data resulting from circumstances outside VIIRAL's reasonable control.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Alpha Maverick Advertising Ltd., VIIRAL Networks, and their directors, officers, employees, contractors, and representatives from third-party claims, liabilities, damages, costs, and reasonable legal expenses arising from:

• your unlawful use of the Site;
• your material violation of these Terms;
• intentionally false or fraudulent information you submit;
• your infringement of a third party's rights; or
• malicious activity conducted through or against the Site by you.

This provision does not require you to indemnify VIIRAL for liability arising solely from VIIRAL's own unlawful conduct.

We may suspend, restrict, or terminate access to the Site where reasonably necessary to protect VIIRAL, its creators, users, personnel, infrastructure, or third parties.

This may include circumstances involving suspected fraud, security threats, abuse, unlawful conduct, unauthorized access, or material violations of these Terms.

We may update these Terms from time to time to reflect changes to our business, services, technology, platform relationships, security requirements, or applicable law.

The current version will display the date it was last updated.

Where required by applicable law, we will provide additional notice of material changes.

Your continued use of the Site after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Subject to any rights or procedures that cannot legally be waived, disputes arising from these Terms or use of the Site will be subject to the jurisdiction of the courts of competent jurisdiction in British Columbia, Canada.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms and our Privacy Policy constitute the agreement governing your use of the Site.

If you become a VIIRAL creator or participate in a specific campaign or program, additional written agreements may apply.
